1. Introduction
We offer an affiliate program that allows approved affiliates to earn commissions for eligible referrals. By participating in the Affiliate Program, you agree to comply with these Terms, any additional program rules we provide, and all applicable laws and regulations.
These Affiliate Program Terms are supplemental to our Terms of Service and Privacy Policy. By joining the Affiliate Program, you agree to be bound by all applicable terms.
2. Relationship
You are an independent contractor and not an employee, agent, partner, or representative of ClipCreator.ai. You have no authority to bind us or make commitments on our behalf. Nothing in these Terms creates an employment, partnership, or joint venture relationship.
3. Account Requirements
Each legal entity may control no more than one Affiliate Program account unless expressly authorized by us in writing. You may not use the Affiliate Program to obtain discounts on ClipCreator.ai products or services for your own use, or for the use of any affiliate, family member, or company with common ownership. All referred sales must be to unrelated third parties on an arm's length basis.
4. Commissions and Attribution
Commissions are earned on eligible subscription purchases attributed to your unique referral link within the attribution window specified in the program. Commissions are subject to our refund policy. If a referred purchase is refunded, reversed, disputed, or charged back, the related commission may be adjusted, withheld, or reversed. We reserve the right to establish minimum payout thresholds and payment schedules. Where you refer a customer who was a prior customer of ClipCreator.ai, the payout of commission will be subject to manual review and approval at our sole discretion.
5. Paid Advertising Policy
Affiliates may NOT:
- Use affiliate links in any paid media, including but not limited to search engine advertisements (Google Ads, Bing Ads), social media advertisements (Facebook, Instagram, TikTok, LinkedIn ads), display advertising, or any similar paid promotional methods that would compete with or cannibalize ClipCreator.ai's own marketing efforts.
- Bid in pay-per-click campaigns on keywords such as "clipcreator.ai", "clipcreator", "clip creator", "ClipCreator coupons", "ClipCreator discounts", "ClipCreator promo code", "www.clipcreator.ai", and/or any misspellings, variations, or similar alterations of these terms, whether separately or in combination with other keywords.
- Use typosquatting and/or redirect traffic from misspelled domains to obtain commissions.
- Use "doorway pages" (pages created primarily to rank for specific searches and redirect users) as part of promotional activities.
- Transmit or deploy any "interstitials," "parasiteware," "parasitic marketing," "shopping assistance applications," "toolbar installations and/or add-ons," "shopping wallets," or "deceptive pop-ups and/or pop-unders" to users. This includes any application that: (i) overwrites affiliate tracking cookies through any means other than a legitimate customer-initiated click; (ii) intercepts searches to redirect traffic through installed software or browser extensions; (iii) sets tracking cookies through IFrames, hidden links, or automatic pop-ups; (iv) targets text on websites not owned by the affiliate for contextual marketing; or (v) removes, replaces, or blocks the visibility of other affiliate content.
6. Permitted Promotional Activities
Affiliates MAY:
- Review ClipCreator.ai on blogs and websites they own or control.
- Create YouTube video reviews, tutorials, and related content.
- Share affiliate links with their audience on social media platforms.
- Add ClipCreator.ai banners and links to their own websites.
- Promote to their email lists in compliance with CAN-SPAM and similar regulations.
All permitted activities must comply with the terms of service of any third-party platforms used for promotion.
7. Prohibited Conduct
Affiliates may not:
- Engage in deceptive, misleading, or fraudulent marketing practices.
- Send unsolicited emails (spam) or violate CAN-SPAM, GDPR, or similar regulations.
- Make self-referrals or refer purchases made by themselves, family members, or related entities.
- Make false, misleading, unsubstantiated, or disparaging claims about ClipCreator.ai, its services, officers, directors, employees, or agents.
- Use cookie stuffing, forced clicks, or other deceptive tracking methods.
- Create websites, social media accounts, or content that impersonates or could be confused with official ClipCreator.ai properties.
- Operate primarily as a coupon, deal, discount code, or rebate website.
- Violate any applicable law, regulation, or third-party rights.
We may withhold, reverse, or revoke commissions and suspend or terminate your participation for any prohibited conduct or suspected abuse.
8. FTC Disclosure Requirements
You must clearly and conspicuously disclose your affiliate relationship with ClipCreator.ai in compliance with the Federal Trade Commission's Endorsement Guides and any applicable local regulations. Disclosures must:
- Be placed near the affiliate link, not solely in a Terms of Use or separate page.
- Be clear and unambiguous (e.g., "affiliate link," "I earn a commission," or "#ad").
- Be visible without scrolling where possible.
- Be included in all formats including social media posts with character limits.
9. Trademark and Creative Usage
We grant you a non-exclusive, limited, non-transferable, non-sublicensable, revocable license to use ClipCreator.ai trademarks, logos, and marketing materials solely as expressly authorized by us for the duration of your participation in the Affiliate Program. You may not modify our creative materials without written approval. You may not use our brand name in domain names, social media handles, or in any way that suggests official affiliation or endorsement beyond your role as an affiliate.
10. Confidentiality
Information about commission rates, program terms, and non-public program details is confidential. You agree not to disclose such information to third parties without our prior written consent.
11. Compliance, Monitoring, and KYC
We reserve the right to monitor your affiliate activities, request documentation, and audit your compliance with these Terms. You agree to cooperate with any reasonable compliance requests and provide information about your promotional methods upon request. We reserve the right to request identity verification documentation (KYC) and to withhold payments pending investigation of any suspicious activity. If an audit reveals that commissions have been overpaid by three percent (3%) or more due to any misrepresentation or breach of these Terms, you agree to reimburse us for all costs and expenses connected with the audit, including reasonable accounting and legal fees.
12. Abandoned Accounts
We reserve the right to remove Affiliate accounts from our system and terminate this agreement if your account has been inactive for a period of six (6) months (defined as no dashboard login and no referred transactions). In such cases, any accumulated commissions below the minimum payout threshold will be forfeited.
13. Indemnification
You agree to indemnify, defend, and hold harmless Company, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your participation in the Affiliate Program, your promotional activities, your breach of these Terms, or your violation of any law or third-party rights.
14. Limitation of Liability
To the maximum extent permitted by law, Company's total liability to you for any claims arising from the Affiliate Program shall not exceed the total commissions paid to you in the twelve (12) months preceding the claim. We shall not be liable for any indirect, incidental, consequential, or punitive damages, including but not limited to loss of revenue or commissions due to affiliate tracking failures, loss of database files, or technical issues.
15. Program Changes and Termination
We may modify or terminate the Affiliate Program at any time, including commission rates, attribution windows, or payout terms. For material changes that adversely affect your benefits under the program, we will endeavor to provide thirty (30) days' notice. You may terminate your participation within the notice period if you disagree with such changes. We may suspend or terminate your participation at any time for any reason, including violations or suspected abuse, without liability to you. Upon termination, any commissions below the minimum payout threshold may be forfeited.
16. Taxes
You are solely responsible for any taxes, duties, or reporting obligations associated with your commissions. You agree to provide any tax documentation we reasonably request (such as W-9 or W-8 forms for US tax purposes).
